Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Mentorrd Technologies Private Limited ("Mentorrd", "Company", "we", "us", or "our") governing your access to and use of the Mentorrd platform at https://mentorrd.com and all associated services, tools, and applications (collectively, the "Platform").

By creating an account, making a purchase, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms are governed by the laws of India, including the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Contract Act, 1872.

2. Eligibility

• You must be at least 18 years of age to create an account and purchase services independently.
• Users between 13–17 years may access student-oriented products (e.g., psychometric tests for kids) only with verifiable parental or guardian consent.
• By using the Platform, you represent that you have the legal capacity to enter into a binding contract under applicable law.
• If you are using the Platform on behalf of a company or institution, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
• You must notify us immediately at support@mentorrd.com of any unauthorised access to your account.
• We reserve the right to refuse registration or suspend accounts at our discretion, including for suspected fraud or policy violations.
• One person may not maintain multiple free accounts.

4. Platform Services

4.1 AI-Powered Tools

Mentorrd provides AI-powered tools including but not limited to: AI resume builder, cover letter generator, LinkedIn profile optimizer, resume scanner, interview preparation, and career assessments. These tools generate content based on the information you provide.

Important: AI-generated outputs are suggestions only. You are solely responsible for reviewing, editing, and verifying all content before use. See our Disclaimer for details.

4.2 Professional Services

Professional services (resume writing, career counselling, mock interviews, LinkedIn makeover) involve human experts. Deliverables and timelines are communicated at the time of purchase. These are subject to our Refund & Cancellation Policy.

4.3 Institutional Services

Services for colleges, universities, and enterprises are subject to separate Master Service Agreements (MSAs) signed at onboarding. In case of conflict, the MSA terms prevail over these Terms.

5. Subscriptions & Payments

5.1 Billing

• Subscription fees are billed in advance — monthly or annually depending on your selected plan.
• All prices are in Indian Rupees (INR) and inclusive of applicable GST unless stated otherwise.
• We reserve the right to change pricing with 30 days' advance notice. Price changes take effect at the start of your next billing cycle.

5.2 Auto-Renewal

Subscriptions auto-renew at the end of each billing cycle. You can cancel auto-renewal at any time from your account dashboard. Cancellation stops the next charge but does not generate a refund for the current period.

5.3 Failed Payments

If a payment fails, we will retry up to 3 times over 7 days. If still unsuccessful, your subscription will be paused and access to premium features suspended until payment is resolved.

5.4 Refunds

All refund requests are handled under our Refund & Cancellation Policy.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable Indian or international laws.
• Submit false, misleading, or fraudulent information — including fabricated work history, credentials, or qualifications — for use in resumes or applications.
• Attempt to reverse-engineer, decompile, or extract source code from our Platform or AI models.
• Use automated bots, scrapers, or crawlers to access the Platform without express written permission.
• Resell, sublicense, or redistribute Platform outputs or services without authorisation.
• Circumvent or attempt to bypass authentication, security, or rate-limiting mechanisms.
• Upload or transmit viruses, malware, or any other malicious code.
• Harass, abuse, or threaten Mentorrd employees, contractors, or other users.
• Use the Platform to generate content that is defamatory, obscene, hateful, or violates third-party intellectual property rights.

Violation of these rules may result in immediate account suspension or termination without refund, and may be reported to law enforcement.

7. Intellectual Property

7.1 Platform Ownership

All Platform content, features, design, software, trademarks, and technology — including AI models, algorithms, and proprietary data — are owned by or licensed to Mentorrd Technologies Private Limited. Nothing in these Terms transfers ownership to you.

7.2 Your Content & AI Outputs

You retain ownership of the personal data and content you input into the Platform ("Input"). You grant us a limited, non-exclusive, royalty-free licence to use your Input solely to provide the service.

AI-generated outputs ("Outputs") created from your Input are assigned to you for personal and professional use. You may not resell Outputs as templates or use them in bulk commercial offerings without our written consent.

7.3 Feedback

If you submit feedback, suggestions, or ideas, you grant us an irrevocable, royalty-free right to use them for any purpose without compensation or attribution.

8. Privacy

Your use of the Platform is subject to our Privacy Policy, incorporated by reference into these Terms.

9. Third-Party Integrations

The Platform integrates with third-party services (payment gateways, LinkedIn, Google, etc.). Your use of those integrations is subject to their respective terms and privacy policies. We are not responsible for the acts, omissions, or availability of third-party services.

10. Disclaimers

The Platform is provided on an "as is" and "as available" basis without warranties of any kind — express, implied, or statutory — including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or virus-free.
• AI-generated outputs will be accurate, complete, suitable for your specific purpose, or result in job placement.
• Career assessments or psychometric results will predict career success or suitability.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Mentorrd Technologies Private Limited and its directors, employees, partners, agents, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Damages arising from your reliance on AI-generated content, career advice, or assessment results.
• Service interruptions, security breaches outside our reasonable control, or third-party acts.

Our total aggregate liability to you shall not exceed the amount you paid us in the 3 months immediately preceding the event giving rise to the claim, or ₹5,000 — whichever is higher.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mentorrd Technologies Private Limitedand its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of:

• Your use of or access to the Platform.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any false or misleading information you submit, including fraudulent resume content.

13. Termination

13.1 By You

You may delete your account at any time from account settings. Deletion removes your personal data subject to our retention obligations in the Privacy Policy.

13.2 By Us

We may suspend or terminate your account immediately and without notice if you:

• Violate these Terms or our Acceptable Use Policy.
• Engage in fraudulent activity or payment chargebacks.
• Pose a security or legal risk to the Platform or other users.

Upon termination, your right to access the Platform ceases immediately. Clauses 7 (IP), 10 (Disclaimers), 11 (Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.

14. Modifications to the Platform

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

15.2 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at support@mentorrd.com to attempt resolution in good faith. We will respond within 15 working days.

15.3 Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be Mumbai, Maharashtra, India. The language of arbitration shall be English.

15.4 Jurisdiction

For matters not subject to arbitration, courts in Mumbai, Maharashtra shall have exclusive jurisdiction.

16. Changes to These Terms

We may revise these Terms from time to time. We will provide at least 14 days' notice of material changes via email or a prominent banner on the Platform. Your continued use after the effective date constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

18. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and any applicable Master Service Agreement, constitute the entire agreement between you and Mentorrd Technologies Private Limited regarding your use of the Platform and supersede all prior agreements.
